AUTOMATIC RENEWAL NOTICE:

After your initial 12-week membership term, this contract renews automatically on a bi-weekly basis until you cancel. You may cancel any renewal with no more than one month's notice.

We like to keep things simple — no traps, no surprises. But there are a few important things we need you to know. This agreement outlines the terms and conditions of the Personal Training Plus Membership, a hybrid program that includes membership at Ascent's climbing, yoga and fitness facility, a custom strength training plan, and support from Ascent trainers and coaches. This program is designed to help you build strength, consistency, and long-term quality of life.

INITIAL TERM & BI-WEEKLY RENEWAL

Your membership has an initial term of 12 weeks (6 bi-weekly billing cycles) beginning on the date of this agreement. You will be billed every two weeks at the rate for your selected membership type. You may not cancel during the initial 12-week term except as provided under the Buyer's Right to Cancel section below.

After the initial 12-week term, your membership will continue to renew automatically every two weeks at the same bi-weekly rate until you cancel. In accordance with Connecticut law (Conn. Gen. Stat. § 21a-219), you may cancel any further renewal by providing no more than one month's notice through any of the accepted methods described below.

MEMBERSHIP TYPES & PRICING

Connecticut Sales & Use tax (6.35%) will be added to all charges.

  • Personal Training Plus [Bi-Weekly]
    Up to $199.50 every 2 weeks · 12-week initial term · Min. total up to $1,197.00 (pre-tax)

  • Health Coaching [Bi-Weekly]
    Up to $100.00 every 2 weeks · 12-week initial term · Min. total up to $600.00 (pre-tax)

  • Personal Training Plus [12 Weeks, Prepaid]
    One-time payment · 12 weeks prepaid · As quoted

After the initial term, your bi-weekly renewal rate will remain the same unless Ascent provides written notice of any change at least one month before it takes effect.

HOW TO CANCEL OR UPDATE YOUR MEMBERSHIP

Cancellations, holds, and membership updates may be submitted by either of the following methods:

  1. Online: Submit via the Update Membership form at ascentclimbinggym.com/update-membership

  2. Mail: Send written notice by certified or registered U.S. mail to Ascent Climbing Gym, LLC, 470 James Street, Suite 004, New Haven, CT 06513

All requests must be received at least 24 hours before your next billing date. Requests received after that will take effect on the following billing cycle. Ascent will send written confirmation of your cancellation within 10 days of receiving your request, including the effective cancellation date.

Cancellations take effect at the end of the billing cycle in which your requested cancellation date falls. No refunds will be issued for any unused portion of that billing cycle.

Cancellation is your responsibility. You waive any right to a refund of dues already charged prior to the effective date of cancellation, regardless of the reason.

ASCENT DOES NOT PROVIDE REFUNDS FOR NON-USE OF MEMBERSHIP OR FAILURE TO CANCEL.

Memberships are non-transferable.

BUYER'S RIGHT TO CANCEL

You may cancel this contract by sending written notice to one of the addresses below, or by submitting a cancellation request online at ascentclimbinggym.com/update-membership. The notice must state that you do not wish to be bound by this contract and must be delivered or submitted before midnight of the third business day after you sign.

You may also cancel this contract if you relocate your residence further than 25 miles from any health club operated by Ascent or any substantially similar health club that would accept Ascent's obligations.

This contract may also be cancelled if you die, or if the health club ceases operation at the location where you entered into this contract.

If you become disabled, you have the option of (1) being relieved of liability for the portion of the contract term during which you are disabled, or (2) extending the original contract at no cost for a period equal to the duration of the disability. Documentation from a licensed physician, physician assistant, or advanced practice registered nurse is required. Ascent may require verification of relocation, disability, or death.

Cancellation within the three-business-day period is without liability on your part, except for the fair market value of services you actually received. The fair market value of services is $85 per hour (billed in whole-hour increments) for assessments, coaching, and in-app programming. You are entitled to a refund of the entire amount paid, less the fair market value of any services or facility use already received.

This right of cancellation cannot be waived or surrendered.

MEMBERSHIP HOLD FEES

Memberships may be placed on hold for leaves greater than 7 days, for a fee. During an approved hold, regular dues will not be charged. Instead, the following hold fees plus applicable taxes will be assessed on your renewal date:

  • Prepaid Memberships — $8/month

  • Bi-Weekly Memberships — $4 per billing cycle

Hold requests must be received at least 24 hours in advance via either of the methods listed above. Hold periods do not pause or extend the 12-week initial term.

TERMS MAY CHANGE

This agreement may be updated from time to time. Your continued use of Ascent and payment of dues constitutes acceptance of any revised terms. Any changes to the bi-weekly renewal price will be communicated in writing at least one month before taking effect.

MEMBER CONTACT INFORMATION

You agree to provide and maintain accurate contact and billing information. It is your responsibility to update Ascent promptly with any changes. You authorize Ascent to communicate account-related information via the contact information you provide, typically by email.

BILLING STATEMENT DESCRIPTOR

Charges from Ascent will appear on your credit card or bank statement as "FSP ASCENT CLIMBING GYM" or a similar variation. If you do not recognize a charge, please contact us before contacting your bank or card issuer.

CREDIT CARD AUTHORIZATION

By signing below, I authorize Ascent Climbing Gym, LLC to store my credit card information and charge it every two weeks for membership dues plus applicable Connecticut Sales & Use tax (6.35%), in accordance with the membership type, billing frequency, and rates described in this agreement. This authorization remains in effect until my membership is cancelled through the accepted methods described above.

I understand and agree that:

  • I am committing to the minimum financial obligation shown in the pricing table above for my selected membership type during the initial 12-week term.

  • My card will be charged automatically every two weeks until I cancel.

  • If I wish to stop charges, I must cancel through one of the accepted methods listed above — not by contacting my bank or card issuer.

DISPUTES AND CHARGEBACKS

If you believe a charge is incorrect, please contact Ascent directly at info@ascentclimbinggym.com before filing a dispute with your bank or card issuer. We are committed to resolving billing issues quickly and fairly.

Filing a chargeback or payment dispute with your bank does not cancel your membership or release you from the financial obligations in this agreement. If a chargeback is filed for charges that were validly billed under this agreement, you agree to reimburse Ascent for the disputed amount plus any fees Ascent incurs as a result of the dispute. Unpaid balances may be referred to collections.

HEALTH & MEDICAL DISCLAIMER

Ascent personal trainers and coaches are not medical professionals. The training services provided are not medical advice, diagnosis, or treatment.

Consult your physician before beginning any new exercise program. By participating, you acknowledge that exercise carries inherent risks and you voluntarily assume responsibility for those risks. Stop exercising if you experience pain, dizziness, or unexpected shortness of breath.
